While Los Angeles County (County) is hosting this Business Space Share Portal (Portal), the County is not a party to any business or commercial rental space negotiation, arrangement, or agreement made between users of the Portal, nor is the County a real estate broker or insurer. The County is neither acting as a principal nor as an agent in any capacity with respect to any such negotiations, agreements, or arrangements. The County is neither involved with, nor is responsible for, any negotiations, agreements, or arrangements for the rental of business or commercial space made through, or in connection with, this Business Space Share Portal. All such negotiations, agreements, or arrangements are strictly between the users involved and not the County.

The County neither endorses, monitors, nor assumes any liability for the terms or fulfillment of these negotiations, agreements, or arrangements. Portal participants are encouraged to conduct their own due diligence activities before entering into any negotiation, agreement, or arrangement, which may include, but not be limited to, evaluating title and legal status, current and potential valuations, physical condition and aesthetic/tenant improvement attributes, environmental reports, encumbrances, rent roll and pending lease negotiations, tenant defaults or issues and any other pertinent information.

As the provider of the Business Space Share Portal, the County does not own, control, offer, or manage any of the listings made by users of the Portal. The County neither endorses nor warrants the:

1. Habitability or condition of any listing offered,
2. Existence, safety, quality, legality, or suitability of any listing, or
3. Performance or non-performance of a user who lists property on the Portal.

The County is not liable for any claims or damages of any kind, including, but not limited to, direct, indirect, compensatory, incidental, special, exemplary or consequential damages, including lost profits or the cost of substitute products or services, or for any claims or damages for personal or bodily injury or emotional distress arising out of, or in connection with, the:

• above claims, damages, issues, terms, conditions, or criteria,
• the use of, or inability to use, this Business Space Share Portal,
• any communications, interactions, or meetings you may have with someone you interact or meet through, or as a result of, the Business Space Share Portal, or
• publishing or completing a rental listing, whether such claims or damages are based on warranty, contract, tort (including negligence), product liability, or any other legal theory, and whether or not the County has been informed of the possibility for such damage.
